SuperGroup Performance Share Plan Awards
This notification is made in accordance with DTR 3.1.4(1)(a).
On 25 April 2014, the following person discharging managerial responsibilities ("PDMR") was granted awards over ordinary shares of 5p in SuperGroup plc (the "Company") under the SuperGroup Performance Share Plan:

No consideration was paid for the grant of the award which is structured as a conditional award.
The vesting of an award is subject to the satisfaction of the following performance conditions, measured over a performance period of three financial years ending with the 2015/16 financial year:
1) 70% of the award is based on the Company's average annual earnings per share ("EPS") growth in excess of the Retail Prices Index ("RPI").
· 25% of the EPS-related part of the award will vest for average annual EPS growth of 12% in excess of RPI, increasing on a straight-line basis to 100% vesting for EPS growth of at least 18% per annum in excess of RPI.
2) 30% of the award is based on comparing the Company's total shareholder return ("TSR") against those companies listed in the following FTSE AllShare subsectors: Apparel Retailers, Broadline Retailers, Clothing and Accessories, Furnishings, Home Improvement Retailers, Recreational Products & Services, Restaurants & Bars, Specialty Retailers.
· 25% of the TSR-related part of the award will vest if the Company's TSR is ranked at the median of the bespoke group of companies, increasing on a straight-line basis to 100% vesting if the Company's TSR is ranked at the upper quartile of the comparator group.
Performance against each target is assessed independently. The award will normally vest on the later of the third anniversary of grant and the determination of the performance conditions.
